Welcome to Business Networking Events, LLC ("Company," "we," "us," or "our"). Please read these Terms and Conditions ("Terms") carefully before using our website, purchasing a subscription, registering for an event, or participating in our networking programs.
1. Nature of Participation; Non-Equity and Non-Ownership Status
Participation, registration, or tier designation in the Company's community networking program (whether designated as "Standard," "Premium," or any other tier) constitutes a revocable, non-exclusive, limited service and networking license only. Being a Networker or Participant does not grant, create, represent, or imply:
- No Equity or Ownership: Any ownership interest, equity, units, or capital stock in Business Networking Events, LLC.
- No Governance Rights: Any right to vote, participate in corporate governance, direct management, or influence the business operations of the Company.
- No Asset or Profit Claims: Any claim, entitlement, or right to Company assets, profits, losses, dividends, distributions, or revenue.
- No Fiduciary Duty: Any fiduciary relationship, trust duty, or legal partnership between the Participant and the Company, its sole owner, managers, or affiliates.
The Company operates strictly as a Single-Member Limited Liability Company. All equity, operational authority, intellectual property, and property rights reside solely and exclusively with the single owner/managing member of the Company.
2. Scope of Networker Benefits
Payment of dues, subscription fees, or event registration costs entitles the Networker solely to the specific networking, promotional, and event-access benefits outlined in their respective tier plan (e.g., event attendance, elevator pitch privileges, or directory listings).
The Company reserves the right, in its sole and absolute discretion, to modify, substitute, adjust, reschedule, or terminate event schedules, guest speaker lineups, Networker tiers, feature availability, or associated perks at any time without prior notice or liability.
3. No Partnership or Joint Venture
Nothing contained in these Terms, or arising from participation in any events, pitch sessions, directory listings, or networking socials, shall be construed to create a partnership, joint venture, agency, employment, or franchise relationship between any Networker or Participant and the Company. All Networkers act strictly as independent individuals or representatives of independent business entities acting solely on their own behalf.
4. Directory & Code of Conduct
By participating in our network, using our website, or attending our events, you agree to adhere to our Event Code of Conduct and the following community standards:
- Professional Conduct: You must interact with other Networkers, organizers, and event attendees in a respectful, professional, and ethical manner. Harassment, discrimination, abusive language, or disruptive behavior will not be tolerated.
- No Unsolicited Spam: Access to our website, event spaces, and directory listings may not be harvested, scraped, or used to send unsolicited bulk communications (spam), mass cold-outreach emails, or unauthorized commercial solicitations to other Participants.
- Truthful Information: You agree to provide accurate, current, and truthful information regarding your identity, business entity, professional credentials, and contact details in your directory profile and during live networking sessions.
- Revocation of Access:The Company reserves the right to suspend or permanently terminate any Networker's profile, directory listing, or event access — without refund — if the Company determines, in its sole discretion, that the Networker has violated these Terms or acted detrimentally to the community.
5. Networker Promotions, Pitches, and Content
If you submit, post, or present content through our platform or during events (including elevator pitches, directory profile details, logos, images, or promotional materials):
- License Grant: You grant the Company a non-exclusive, royalty-free, worldwide license to display, distribute, broadcast, and promote your business name, logo, public profile, and presentation content across our website, marketing materials, social media channels, and event recordings.
- Accuracy & Compliance: You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions for any content or pitch you present, and that your services and products comply with all applicable laws.
- No Endorsement: The Company does not verify, endorse, guarantee, or assume responsibility for the accuracy, legality, or quality of any products, services, or representations made by other Networkers or Participants.
6. Payment, Billing, and Cancellation Policy
- Fees: Participation dues and event ticket fees are billed in advance according to the pricing schedule published on the website.
- Recurring Subscriptions: If you enroll in a recurring Networking tier plan (monthly or annually), your account will automatically be charged on a recurring basis until you formally cancel via your account portal or written notice.
- Refund Policy: All participation fees, subscription dues, and event ticket purchases are strictly non-refundable, except where explicitly required by law or approved in writing by management — see our Refund & Cancellation Policy for full detail.
- Price Changes: The Company reserves the right to adjust pricing for any Networker tier or event upon reasonable advance notice posted on the website or sent via email.
7. Event Attendance, Recording, and Media Release
- Filming and Photography: The Company may photograph, audio-record, or video-record virtual and in-person events. By attending, you grant the Company full permission to use your voice, image, likeness, and presentation in future marketing materials, website features, social media, and event recaps without royalty or compensation.
- Third-Party Venue/Platform Rules: When attending live in-person events or virtual sessions hosted on third-party platforms, you agree to comply with all rules and regulations established by the venue owner or platform provider.
8. Disclaimer of Warranties and Limitation of Liability
- "As-Is" Service:The website, network, directory, and events are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including fitness for a particular purpose or non-infringement.
- No Guaranteed Results: The Company makes no representations, guarantees, or warranties regarding the business results, revenue generation, client leads, investments, or commercial opportunities arising from participation in the network.
- Limitation of Liability: To the maximum extent permitted by applicable law, Business Networking Events, LLC, its managing member, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or business opportunities.
- Cap on Liability: In no event shall the total aggregate liability of the Company exceed the total amount paid by you to the Company in the three (3) months preceding the event giving rise to the claim.
9. Third-Party Links and Networker Transactions
Our website and directory may contain links to third-party websites, products, or services. Additionally, Networkers may engage in business transactions, partnerships, or contracts with one another as a result of connections made through the platform.
The Company is not a party to, nor responsible for, any transactions, contracts, disputes, damages, or agreements made between individual Networkers or between Participants and third parties.
10. Intellectual Property
All materials, branding, logos, graphics, website software, layout, and copy created by or belonging to Business Networking Events, LLC are protected by copyright, trademark, and intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from our platform without express written authorization.
11. Indemnification
You agree to defend, indemnify, and hold harmless Business Networking Events, LLC, its managing member, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, losses, or legal fees arising out of or related to:
- Your breach of these Terms;
- Your conduct at any Company event or interaction with other Networkers;
- Any content, promotional material, or business offer you present or distribute; or
- Your violation of any third-party rights or applicable laws.
12. Governing Law and Jurisdiction
These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the state or federal courts located in California.
13. Changes to These Terms
The Company reserves the right to modify or update these Terms at any time. Updated versions will be posted directly to this web page with a revised "Last Updated" date. Continued use of the website, participation in events, or retention of an active tier plan following any updates constitutes your acceptance of the revised Terms.
